1. Agreement to terms
These Terms of Service (“Terms”) govern your use of the websites, mobile applications, products, and services offered by NMX Security and its affiliates (collectively, “NMX,” “we,” “us,” or “our”), including professional security system design, installation, monitoring, maintenance, and related smart-home services (collectively, the “Services”).
By requesting a quote, scheduling an installation, creating an account, using our apps or customer portal, or otherwise using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.
2. Services and scope
NMX provides residential and commercial security and smart-building solutions. Specific equipment, monitoring terms, response procedures, and service levels are described in your order, statement of work, monitoring agreement, or other signed documentation (“Service Agreement”). If these Terms conflict with a signed Service Agreement, the Service Agreement controls for that subject matter.
- On-site assessment, system design, installation, and configuration
- Equipment sale or lease as specified in your Service Agreement
- Optional professional monitoring and emergency dispatch where applicable
- Support, maintenance, and remote troubleshooting as purchased
3. Quotes, pricing, and payment
Quotes and online estimators are informational unless expressly identified as a binding offer. Final pricing depends on site conditions, code requirements, equipment availability, and your selected services. Taxes, permits, and third-party fees may be additional.
You agree to pay all amounts when due according to your Service Agreement or invoice. Late payments may incur fees and suspension of monitoring or cloud features where permitted by law and contract.
4. Customer responsibilities
- Provide safe access to the property during scheduled work and notify us of hazards, asbestos, or other conditions that may affect installation.
- Maintain power, internet, or communications paths required for your system to operate as designed, unless NMX explicitly agrees to provide those utilities.
- Keep codes, app logins, and credentials confidential and notify NMX promptly of suspected unauthorized access.
- Comply with applicable laws, HOA rules, and permit requirements related to cameras, alarms, and signage.
5. Monitoring and emergency response
Where you subscribe to professional monitoring, NMX or its certified monitoring partners will process signals according to your Service Agreement and applicable protocols. Monitoring does not guarantee prevention of loss, crime, or emergency outcomes.
False alarms may be subject to municipal fines or service charges. You authorize NMX to contact public safety agencies and your designated call list when signals indicate a potential emergency, subject to your account instructions and the law.
6. Video, cloud, and data services
If your system includes video storage, clips, or smart-home integrations, use of those features is subject to these Terms and our Privacy Policy. You are responsible for configuring recording rules in line with privacy expectations and local regulations.
7. License and acceptable use
We grant you a limited, non-exclusive, non-transferable license to use NMX software and apps solely to interact with systems we provide or authorize. You may not reverse engineer, circumvent security, probe our networks without permission, or use the Services for unlawful surveillance or harassment.
8. Intellectual property
NMX retains all rights in our branding, documentation, software, and proprietary designs. Customer-provided plans and marks remain yours. Feedback you provide may be used to improve our Services without obligation to you.
9. Warranties disclaimer
Except as expressly stated in a written warranty accompanying equipment or a Service Agreement, the Services are provided “as is” and “as available.” To the fullest extent permitted by law, NMX disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Important: No security system prevents all intrusions, environmental events, or network attacks. You acknowledge that electronic systems can fail and that monitoring and dispatch depend on communication paths, third parties, and factors outside NMX's control.
10. Limitation of liability
To the maximum extent permitted by law, NMX and its officers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption, arising from or related to the Services—even if advised of the possibility.
NMX's aggregate liability for any claim arising from the Services is limited to the greater of (a) the amounts you paid NMX for the Services giving rise to the claim during the twelve (12) months before the claim, or (b) one hundred U.S. dollars (USD $100), except where applicable law does not allow such a cap.
11. Indemnification
You will defend, indemnify, and hold harmless NMX from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of these Terms, violation of law, or disputes between you and third parties related to your property or account.
12. Termination
Either party may terminate in accordance with your Service Agreement. We may suspend or terminate access for non-payment, risk of harm, or breach of these Terms. Provisions that by their nature should survive (including Sections 8–11) will survive termination.
13. Changes to these Terms
We may modify these Terms by posting an updated version on our website and revising the “Last updated” date. Material changes may require additional notice under your Service Agreement or applicable law. Continued use after changes become effective constitutes acceptance unless otherwise required.
14. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where preempted by federal law. You agree that exclusive jurisdiction for disputes relating to these Terms lies in the state or federal courts located in Dallas County, Texas, subject to mandatory consumer protections in your jurisdiction.
